Payment

You are responsible for payment for the plans you are subscribed to. You are billed monthly or yearly in advance of using the platform.

Subscription Rebilling

There are usage rebilling charges for phone, emails, SMS, and other digital services that are used on the platform.

Indemnification

You agree to indemnify and hold Softwired LLC, its officers, directors, employees, and agents harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of our platform, your violation of these terms of service, or your violation of any rights of another.

Disclaimer of Warranties

Our platform is provided "as is" and without warranties of any kind, either express or implied. Softwired LLC disclaims all warranties, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Softwired LLC shall not be liable for any damages whatsoever arising out of or in connection with your use of our platform, including, but not limited to, direct, indirect, incidental, consequential, or punitive damages, or damages for loss of profits, goodwill, use, data or other intangible losses.

Termination

Softwired LLC may terminate your access to our platform at any time, without notice, for any reason, including without limitation, breach of these terms of service.

Governing Law and Jurisdiction

These terms of service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflicts of law provisions. Any dispute arising out of or in connection with these terms of service shall be resolved exclusively in the state or federal courts located in the State of Delaware.
